Terms and Conditions

These General Terms and Conditions (“Terms”) govern use of the website and online services of active value GmbH for structured product feed preparation, in particular for distribution via Google Shopping, Google Ads and comparable channels.

By registering, concluding a contract or using the services you accept these Terms. Conflicting or deviating user terms apply only if active value GmbH has expressly agreed in writing.

active value GmbH provides a web-based platform to analyse, structure and prepare product data and feeds for advertising and shopping channels.

Services include in particular:

• Functions for capturing, validating and preparing feed data
• Support for data quality, e.g. required fields, categories and text
• Storage and processing of contractually agreed data volumes within technical availability
• Interfaces and export formats as per the agreed scope

The exact feature set follows the product description on the website, the selected plan and technical specifications at contract conclusion. Changes remain reserved if reasonable and do not materially affect the purpose.

Offers on the website are non-binding. A contract is formed when accepted by active value GmbH, e.g. by activation or explicit confirmation.

Use requires a user account unless otherwise agreed. You must provide accurate registration data and keep credentials confidential.

active value GmbH may refuse or suspend registration or use for important reasons, including misuse, security risks or breach of these Terms.

For paid services, prices shown on the website or order apply plus applicable VAT.

Payment terms follow the selected plan or invoice. Late payment may incur statutory default interest and further claims.

Right of retention only where the counterclaim is based on the same contractual relationship and is undisputed or legally established. Undisputed or established claims remain unaffected.

Invoicing with undisputed or established claims remains unaffected.

For subscription services, term follows the selected plan. Extraordinary termination for good cause remains unaffected.

Ordinary cancellation within contractual or website notice periods is possible. After termination, data may be deleted or anonymised per law and contract.

Temporary or permanent restrictions for maintenance or security do not grant a right to cancel if reasonable and announced.

active value GmbH may suspend or terminate access without notice if you materially breach these Terms, infringe third-party rights or misuse the platform.

active value GmbH is liable for intent and gross negligence and under the Product Liability Act.

For slight negligence, liability is limited to breach of material contractual obligations whose fulfilment enables proper performance and on which the user may rely (cardinal obligations). In that case liability is limited to foreseeable, typically occurring damage.

The above limits do not apply to injury to life, body or health. Product liability remains unaffected.

Liability for lost profit, indirect damage or data loss beyond statutory cases is excluded where permitted by law.

active value GmbH processes personal data in connection with use of the platform and contract performance.

Texts, graphics, software and other platform content are protected by copyright or other rights.

You receive a simple, non-transferable right to use the platform within the contractually agreed scope. Reproduction, distribution or public display beyond contractual use is not permitted unless legally allowed.

Content you provide remains yours. You grant active value GmbH the usage rights required for contract performance.

active value GmbH may amend these Terms with future effect. Changes will be published on the website.

If you do not object within the period stated in the notice, amended Terms are deemed accepted. The right to object is stated in the notice. Material disadvantages may give rise to special termination rights where provided by law or agreed.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods where permitted.

If the user is a merchant under the German Commercial Code, a legal entity under public law or a special fund under public law, place of performance and jurisdiction for disputes is the registered office of active value GmbH in Düsseldorf.

If any provision is invalid or unenforceable, the remainder stays in effect. The invalid provision is replaced by the applicable statutory provision.

Amendments and supplements require written form unless a stricter form is required by law. This also applies to waivers of written form.
